Welcome to Rao Labs.

These Terms of Service (“Terms”) govern your access to and use of the Rao Labs website, digital products and related services (collectively, the “Services”).

Our ecommerce store is powered by Shopify.

By visiting our website, purchasing a product or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

1. Eligibility and account information

You must be legally capable of entering into a binding agreement in your jurisdiction in order to purchase from Rao Labs.

You agree to provide accurate and current information when making a purchase.

You are responsible for maintaining the security of any account credentials or download information provided to you.

2. Our products

Rao Labs sells digital products including guides, templates, worksheets, business resources, prompt systems and related digital materials.

Products are delivered electronically.

No physical goods are supplied unless explicitly stated otherwise on the relevant product page.

We make reasonable efforts to accurately describe our products.

Product content, layouts, included resources and features may be updated or improved over time.

3. Orders

Submitting an order constitutes an offer to purchase a Rao Labs product.

An order is accepted after successful payment and confirmation by our ecommerce system.

Rao Labs reserves the right to refuse, cancel or refund an order where reasonably necessary, including in cases of:

• suspected fraud;
• payment errors;
• pricing errors;
• technical errors;
• misuse of the Services; or
• other exceptional circumstances.

Purchases are subject to our Refund Policy.

4. Pricing and payment

Prices are displayed in the currency shown during checkout.

Prices may change without notice, but changes will not affect an order that has already been successfully completed.

Applicable taxes may be added or included depending on the customer's location and applicable law.

Payments are processed through Shopify and/or supported payment providers.

You represent that you are authorised to use the payment method supplied during checkout.

5. Digital delivery

Rao Labs products are digital products and no physical goods will be shipped.

Following successful payment, access to purchased digital products will normally be provided electronically using the email address supplied during checkout.

Digital delivery may include:

• download links;
• downloadable ZIP files;
• PDF documents;
• links to editable templates; or
• access to other digital resources.

Customers are responsible for:

• providing a valid email address;
• downloading and safely storing purchased files; and
• maintaining access to any third-party account required to use an optional editable template.

6. Licence to use Rao Labs products

Purchasing a Rao Labs product grants you a limited, non-exclusive, non-transferable licence to use that product for your own personal or internal business purposes.

You may:

• use the guides and systems inside your own business;
• fill in and modify supplied templates for your own business;
• use outputs created from the templates or prompts in your own business operations; and
• allow members of your own team to use your completed internal business materials where reasonably necessary.

You may not:

• resell the Rao Labs product;
• redistribute the original files;
• publicly upload or share the original materials;
• sell, sublicense or commercially distribute the templates themselves;
• provide purchased files to other businesses or unrelated third parties;
• create and sell substantially copied versions of Rao Labs products;
• remove Rao Labs branding for the purpose of redistributing the original product as your own; or
• use the product to create a competing copy or derivative product that substantially reproduces Rao Labs proprietary materials.

All rights not expressly granted remain with Rao Labs and/or the applicable rights holder.

7. Intellectual property

Unless otherwise stated, Rao Labs owns or licenses the original content, design, text, frameworks, graphics, templates and branding contained in our products and website.

Third-party trademarks, product names and services referenced in Rao Labs materials remain the property of their respective owners.

References to third-party platforms do not imply sponsorship, endorsement or affiliation unless expressly stated.

8. AI and business information disclaimer

Rao Labs provides educational and business-implementation resources.

Our products are intended to help users understand, organise and implement AI-assisted workflows.

They do not constitute:

• legal advice;
• financial advice;
• accounting advice;
• medical advice;
• cybersecurity advice; or
• professional advice specific to your circumstances.

AI systems can produce incorrect, incomplete, outdated or misleading outputs.

You are responsible for reviewing information before relying on, publishing, sending or acting upon AI-generated content.

Rao Labs does not guarantee that:

• AI tools will produce accurate results;
• a particular workflow will save a specific amount of time;
• implementation will increase revenue;
• advertising will be profitable;
• automation will work in every business; or
• use of the product will produce any particular financial or operational result.

Important business, legal, financial, employment, safety and customer decisions should receive appropriate human review.

9. Third-party AI tools and services

Rao Labs materials may reference third-party products or services such as ChatGPT, Gemini, Claude, Microsoft Copilot, Shopify, Google Workspace or other software.

Third-party platforms may change their:

• features;
• interfaces;
• prices;
• limits;
• availability;
• policies; or
• terms.

Rao Labs does not control these third-party services and is not responsible for their continued availability or performance.

Use of a third-party service is subject to that provider's own terms and policies.

10. Template links and third-party file services

Some Rao Labs products may include links to editable templates hosted through third-party services such as Google Docs or Google Sheets.

Where possible, these links are provided to allow customers to create their own editable copies.

Availability of these services depends on the relevant third-party provider.

If an included link becomes unavailable because of a technical issue, contact Rao Labs and we will make reasonable efforts to provide access to the purchased resource.

11. Refunds

Refund eligibility is governed by the Rao Labs Refund Policy.

Because Rao Labs products are digital and can normally be accessed immediately after purchase, refunds may be limited once digital access has been supplied, except where required by applicable law.

Technical access problems should be reported to raolabsdigital@gmail.com so that we can attempt to resolve the issue.

12. Optional third-party tools

We may provide links or references to third-party tools.

These services are provided by their respective operators and may be offered “as is” and “as available.”

Rao Labs does not control and is not responsible for third-party tools, websites or services.

You should review the relevant provider's terms, policies, pricing and security practices before using them.

13. Shopify

Our store is powered by Shopify.

Shopify provides ecommerce technology that enables us to offer products and process transactions.

Purchases from Rao Labs are transactions between you and Rao Labs, not between you and Shopify, except to the extent Shopify independently provides payment or other services under its own terms.

Certain personal information is processed by Shopify in accordance with its own privacy practices.

14. Prohibited use

You must not use our website or Services:

• for unlawful or fraudulent purposes;
• to infringe intellectual-property rights;
• to distribute malware or malicious code;
• to interfere with the security or operation of the Services;
• to attempt unauthorised access to accounts or systems;
• to scrape or systematically reproduce proprietary Rao Labs content for redistribution;
• to impersonate another person or business; or
• to violate applicable laws or regulations.

15. Errors and changes

Occasionally, the Services may contain errors, omissions or outdated information.

We reserve the right to correct errors and update product descriptions, content, pricing or other information.

AI platforms evolve rapidly, and screenshots, feature names, plan names, interfaces and instructions shown in our products may change after publication.

Where appropriate, users should verify current product-specific information with the relevant provider.

16. Disclaimer of warranties

To the extent permitted by applicable law, the Services and digital products are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, error-free or suitable for every business or use case.

Nothing in these Terms excludes any warranty, guarantee or consumer right that cannot lawfully be excluded.

17. Limitation of liability

To the fullest extent permitted by applicable law, Rao Labs will not be liable for indirect, incidental, special or consequential losses resulting from use of the Services or purchased products.

This includes, where permitted by law, losses relating to:

• lost profits;
• lost revenue;
• business interruption;
• lost opportunities;
• data loss;
• decisions made using AI-generated information; or
• third-party tools and services.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

18. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Rao Labs harmless from third-party claims arising from your unlawful use of the Services, your infringement of another party's rights, or your material violation of these Terms.

19. Termination or restriction

We may restrict or terminate access to the Services where reasonably necessary, including where a user:

• materially violates these Terms;
• attempts fraud;
• unlawfully redistributes our products; or
• interferes with the security or operation of the Services.

Provisions relating to intellectual property, licences, disclaimers, liability and other provisions that by their nature should survive termination will remain effective.

20. Governing law

These Terms are governed by the laws of Singapore, without limiting any mandatory consumer rights that may apply to you under the laws of your place of residence.

Any dispute will be handled by the courts or other competent dispute-resolution bodies having jurisdiction under applicable law.

21. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in effect.
